Terms and Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Cardiye website, digital cards and invitations, personalization tools, account features, purchases, and related services (collectively, the "Services").

Cardiye is a brand operated by Seller 24 LLC, a Texas limited liability company based in Austin, Texas ("Seller 24 LLC," "Cardiye," "we," "us," or "our").

By accessing or using the Services, creating an account, placing an order, or purchasing a Cardiye product, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the Services.

Cardiye offers digitally delivered cards and invitations that may be personalized through the Cardiye website.

Our products may include, without limitation:

• wedding invitations;
• birthday invitations;
• birthday cards;
• anniversary cards and invitations;
• baby shower invitations;
• bridal shower invitations;
• congratulations cards;
• greeting cards;
• love cards; and
• other digital cards and designs.

The products and Services available through Cardiye may change over time. We may add, modify, suspend, or discontinue products, features, designs, or portions of the Services.

Cardiye products are digital products unless expressly stated otherwise. No physical card, printed invitation, envelope, stationery, or other physical product is included with a purchase.

Your purchased product is delivered electronically through the Cardiye website, by email, or through another electronic delivery method specified at the time of purchase.

Because our products are digital, no physical shipping or delivery is involved.

You are responsible for having a suitable device, internet connection, and software capable of receiving, viewing, storing, and using the purchased digital file.

Cardiye allows you to personalize certain portions of our designs, which may include names, dates, times, venues, RSVP information, greetings, and other fields made available through the Services.

You are responsible for reviewing all personalized information before completing your purchase.

You are responsible for the accuracy of information you provide, including spelling, names, dates, times, addresses, venue information, and other personalized content.

Cardiye may automatically adjust formatting, text size, wrapping, positioning, or other design properties to fit your content within the selected design.

Certain personalization features may impose character, line, width, or other technical limits. These limitations may vary by design.

"Customer Content" means information or material you submit to Cardiye through the Services, including names, messages, dates, addresses, RSVP details, and other personalized information.

You retain your rights in Customer Content that you provide.

You grant Cardiye a limited, non-exclusive license to use, reproduce, store, process, transmit, and display your Customer Content only as reasonably necessary to:

• provide and personalize the Services;
• process and fulfill your order;
• deliver your purchased product;
• provide customer support;
• maintain and operate the Services; and
• prevent fraud, abuse, or security threats.

You represent that you have the right to provide the Customer Content you submit and that your Customer Content does not knowingly violate applicable law or another person's rights.

You do not need to create a Cardiye account to make a purchase.

You may purchase Cardiye products as a guest or through a Cardiye account.

When purchasing as a guest, you must provide accurate information necessary to process and deliver your order, including a valid email address.

If you create a Cardiye account using the same verified email address associated with eligible previous guest activity, Cardiye may associate eligible guest orders, reviews, wishlists, or other applicable information with that account so that you can access your purchase history and related account features.

Association of a guest order with an account does not alter the original order, payment record, order date, purchased items, or other historical transaction information.

Cardiye may allow guests and account holders to maintain carts and wishlists.

Guest cart and wishlist information may be stored locally on the device or browser and may be associated with an account when a user signs in, depending on the available functionality.

When a guest signs in, Cardiye may merge eligible guest cart or wishlist items with items already associated with the account.

Where the same product already exists in both lists, Cardiye may remove duplicate entries rather than creating duplicate items.

Cart and wishlist availability may be affected by browser settings, device changes, clearing of browser storage, account activity, product availability, or other technical circumstances.

When you submit an order, you are offering to purchase the selected product or products.

An order is accepted when Cardiye successfully processes the payment and confirms the order.

Cardiye reserves the right to refuse, cancel, or limit an order where reasonably necessary, including because of:

• suspected fraud or unauthorized activity;
• payment processing problems;
• technical or pricing errors;
• inaccurate product information;
• misuse of the Services; or
• other legitimate business or security reasons.

If Cardiye cancels an order after payment has been successfully received, Cardiye will provide an appropriate refund unless otherwise permitted or required by applicable law.

Prices are displayed on the Cardiye website at the time of purchase.

Unless otherwise stated, prices are displayed in U.S. dollars (USD).

Cardiye may change prices, promotions, discounts, and product availability at any time. Changes will not affect orders that have already been completed and accepted.

Applicable taxes or other charges, where required, will be presented during checkout.

Payments may be processed by third-party payment providers. Your use of those payment services may also be subject to the provider's own terms and privacy policies.

After a successful purchase, Cardiye will make your personalized digital product available through the delivery method presented during checkout or on the order confirmation.

You are responsible for providing an accurate email address and maintaining access to the email address or Cardiye account associated with your purchase.

If you experience a technical problem preventing you from accessing or downloading a purchased product, please contact us at hello@cardiye.com.

Because Cardiye products are personalized digital products, purchases are generally non-refundable after the personalized product has been generated or made available for download, except where a refund is required by applicable law or provided under this section.

We may provide a refund, replacement, or corrected file where:

• Cardiye delivers the wrong product;
• a technical defect caused by Cardiye materially affects the purchased file;
• the file is corrupted or cannot be downloaded because of a Cardiye-side technical issue; or
• Cardiye otherwise determines that a refund or replacement is appropriate.

You should contact hello@cardiye.com as soon as reasonably possible if you experience a problem with your order.

You remain responsible for reviewing your personalized information before completing the purchase.

Any refund, cancellation, or remedy required by applicable consumer-protection law remains available notwithstanding these Terms.

When you purchase a Cardiye digital card or invitation, Cardiye grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the purchased personalized product for your own personal purposes and for the occasion for which it was purchased.

This includes the right to:

• download the purchased digital product;
• send or share the purchased product with its intended recipients;
• display the purchased product digitally; and
• print the purchased product for your own personal use, where appropriate.

The purchase does not transfer ownership of Cardiye's underlying designs, artwork, layouts, graphics, illustrations, templates, software, or other intellectual property.

You may not:

• resell or sublicense a Cardiye product;
• distribute Cardiye source files or editable design assets;
• extract or separately distribute Cardiye artwork or design elements;
• use Cardiye designs to create competing products or services;
• offer a Cardiye design or substantially similar reproduction for sale or download;
• remove Cardiye branding or proprietary notices included in the purchased product; or
• commercially exploit Cardiye's underlying design assets without written permission.

The Cardiye website and Services, including their designs, layouts, graphics, illustrations, photographs, text, logos, trademarks, software, interfaces, and other content, are owned by or licensed to Seller 24 LLC and are protected by applicable intellectual-property laws.

Except for the limited license expressly granted in these Terms, no ownership or other intellectual-property rights are transferred to you.

Cardiye and associated Cardiye branding are trademarks, trade names, or other proprietary identifiers of Seller 24 LLC or their respective owners.

You agree not to use the Services to:

• violate applicable laws or regulations;
• infringe intellectual-property, privacy, publicity, or other rights;
• submit unlawful, fraudulent, abusive, threatening, or defamatory content;
• interfere with the security or operation of the Services;
• gain unauthorized access to accounts, systems, data, or infrastructure;
• scrape, copy, harvest, or systematically reproduce Cardiye content or product information for commercial purposes;
• reverse engineer, decompile, or attempt to obtain source code from the Services except where applicable law expressly permits it;
• circumvent security controls, access restrictions, purchase controls, or other technical safeguards; or
• use the Services for fraudulent, deceptive, or unlawful purposes.

If Cardiye allows you to submit reviews, ratings, comments, photographs, or other feedback, you are responsible for ensuring that your submission is truthful and does not violate applicable law or another person's rights.

You retain ownership of your submitted content.

By submitting a review or other feedback, you grant Cardiye a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and publish that content in connection with Cardiye's business, website, marketing, and Services.

Cardiye may moderate, remove, or decline to publish submissions that violate these Terms or applicable law.

Cardiye will not represent a review as being from a verified purchaser unless it has a reasonable basis for that designation.

Cardiye may use third-party services for functions such as:

• payment processing;
• authentication and Google Sign-In;
• hosting and storage;
• email delivery;
• analytics;
• fraud prevention; and
• other website functionality.

Your interactions with third-party services may be subject to their own terms and privacy policies.

Cardiye is not responsible for the independent acts, policies, or availability of third-party services, although we will make reasonable efforts to address issues that materially affect Cardiye's Services.

We aim to keep Cardiye available and functioning reliably, but we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

Cardiye may temporarily suspend portions of the Services for maintenance, security, upgrades, technical issues, or other legitimate reasons.

We may modify, suspend, or discontinue products or features from time to time.

We make reasonable efforts to present products, descriptions, prices, and previews accurately.

However, colors may vary between devices and screens, and digital previews may not perfectly represent the appearance of a printed version.

Cardiye does not guarantee that every product description, image, color representation, or other website content will always be completely accurate, current, or error-free.

If Cardiye identifies a material error in pricing or product information, we may correct the error and, where appropriate, cancel affected orders and provide a refund.

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Cardiye does not guarantee that:

• the Services will always be uninterrupted or error-free;
• every product or design will remain available indefinitely;
• downloads will always be available without interruption; or
• third-party services used by Cardiye will always function without interruption.

Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot legally be excluded or limited.

To the maximum extent permitted by applicable law, Seller 24 LLC and Cardiye will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to your use of the Services.

To the maximum extent permitted by applicable law, Cardiye's aggregate liability arising out of or relating to a specific purchase will not exceed the amount you paid for the product giving rise to the claim.

This limitation does not apply to liability that cannot legally be excluded or limited.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Seller 24 LLC, Cardiye, and their officers, employees, contractors, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from:

• your violation of these Terms;
• your unlawful use of the Services; or
• your Customer Content or other materials submitted through the Services.

Your use of the Services is also governed by Cardiye's Privacy Policy.

The Privacy Policy explains how Cardiye collects, uses, stores, shares, and protects personal information.

By using the Services, you consent to receiving electronic communications from Cardiye concerning your orders, account, transactions, purchased products, customer-service matters, security, and other operational matters.

Where permitted by law, electronic communications and records may satisfy legal requirements that communications be provided in writing.

Marketing communications will be handled in accordance with applicable law and the choices made available to you.

The Services are intended for a general audience and are not directed toward children under the age at which they may lawfully use online commercial services without parental consent under applicable law.

If you use the Services on behalf of a child, you are responsible for ensuring that your use complies with applicable law.

Cardiye does not knowingly request information from children where prohibited by applicable law.

We may update these Terms from time to time.

When we make changes, we will update the "Last Updated" date at the top of this page.

Where required by applicable law, we will provide additional notice of material changes.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.

Nothing in these Terms is intended to deprive you of rights or remedies that cannot legally be waived or excluded under applicable law.

To the extent permitted by applicable law, disputes arising out of or relating to these Terms or the Services will be subject to the jurisdiction of the applicable state or federal courts located in Travis County, Texas.

Nothing in this section prevents a consumer from exercising rights or pursuing remedies in a forum or under procedures required or permitted by applicable law.

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

These Terms, together with the Cardiye Privacy Policy and any other policies expressly incorporated into these Terms, constitute the agreement between you and Cardiye regarding your use of the Services, except where additional terms specifically apply to a particular product or service.
